Other Events.
 
On January 11, 2023, Eargo, Inc. (“Eargo” or the “Company”) issued a press release announcing that its board of directors has approved a 1-for-20 reverse stock split (the “Reverse Stock Split”).
 
The Reverse Stock Split is expected to be effected on January 17, 2023, and the Company’s common stock is expected to begin trading on a split-adjusted basis at market open on January 18, 2023. Pursuant to the Reverse Stock Split, every 20 shares of Eargo common stock issued and outstanding as of the effective date will be automatically reclassified into one share of Eargo common stock. The Company’s stockholders will be entitled to receive cash in lieu of any fractional shares they would otherwise be entitled to receive in the Reverse Stock Split.

Eargo to Complete a 1-for-20 Reverse Stock Split
 
SAN JOSE, Calif., Jan. 11, 2023 (GLOBE NEWSWIRE) – Eargo, Inc. (“Eargo” or the “Company”) (Nasdaq: EAR), a medical device company on a mission to improve the quality of life for people with hearing loss, today announced that its Board of Directors has approved a 1-for-20 reverse stock split of the Company’s common stock. The Company’s common stock is expected to begin trading on a split-adjusted basis when the markets open on Wednesday, January 18, 2023, under the existing trading symbol “EAR” and a new CUSIP number: 270087208.
 
Upon the effectiveness of the reverse stock split, every 20 shares of the Company’s issued and outstanding common stock will be automatically reclassified into one share of issued and outstanding common stock. No fractional shares will be issued as a result of the reverse stock split. Instead, stockholders who otherwise would be entitled to receive fractional shares of common stock will be entitled to receive cash. The reverse stock split affects all stockholders uniformly and will not alter any stockholder’s percentage interest in the Company’s common stock, except for adjustments that may result from the treatment of fractional shares.
